Abstract The two-right model “the ownership of the scientific and technological achievements and intellectual property rights' which established by the Scientific and Technological Progress Law is the basic institutional framework for China to establish the ownership of scientific and technological achivements in state-funded projects,and it is the summary of the experience of the localized development of China's S&T innovation policy.It experienced four stages.The two-right model has played a certain role in promoting the transformation of scientific and technological achievements.However,from the perspective of institutional system,the unclear legal content of ownership of scientific and technological achievements and the unclear relationship between the two rights have caused the incongruity between Science and Technology Law and Intellectual Property Law,which is likely to lead to understand chaos and expectation failure.In the future,within the framework of Intellectual Property Law,China's legislation should amend article 20 paragraph 1 of the Scientific and Technological Progress Law and improve the legal person property of scientific and technological achievements to adjust the ownership system of scientific and technological achievements and realize the integration of scientific and technological policies.
